Terms of Use and Sale

1. Purpose
Novoca is a platform that lets content creators generate and publish a digital product shop, and lets buyers purchase those products. Novoca acts as a technical intermediary: the sales contract is concluded directly between the creator (seller) and the buyer.
2. Pricing and payment
Prices are set by creators and displayed in euros, all taxes included. Payment is processed by Stripe. Novoca charges a 10% commission on each sale, borne by the creator. Use of the platform is free for creators. When a creator has not yet completed their payment onboarding, sales are collected by Novoca and then paid out in full to the creator (minus the commission) once onboarding is completed; if onboarding is not completed within 60 days, buyers are refunded.
Novoca (Hugo Cossa, EI) benefits from the French VAT exemption for small businesses: VAT not applicable, article 293 B of the French Tax Code. Amounts invoiced by Novoca (commissions, Pro plan) are therefore exclusive of VAT for as long as this regime applies.
Creators may subscribe to the Pro plan (€29 incl. tax per month), which reduces Novoca’s commission to 0% on sales made during the subscription period. The Pro plan has no commitment and can be cancelled at any time from the creator dashboard; cancellation takes effect at the end of the current period.
3. Member subscriptions
Some creators offer a monthly subscription giving access to exclusive content published over time. The subscription has no commitment and can be cancelled at any time, in one click, from the member area; cancellation takes effect at the end of the paid period, which remains accessible until its end. The amount and description of the offer are set by the creator.
4. Creator affiliation
A creator may allow other creators to promote their product through an affiliate link and share part of the sale price with them (10 to 50%, set by the seller), deducted from the seller’s own share. The affiliate share is paid after the seller’s payout; if the affiliate has not activated their payment account within 60 days of the sale, their share is permanently retained by Novoca. If an affiliated sale is refunded, the shares paid out are recovered.
5. Commercial emails
At checkout, buyers may consent to receiving a reminder email. This consent is never presumed: without explicit agreement given at checkout, no follow-up email is sent. An abandoned cart triggers at most one reminder email.
6. Delivery
Products are digital content delivered immediately after payment, through a download link shown on the confirmation page and, where applicable, sent by email to the address provided at checkout.
7. Right of withdrawal
In accordance with article L221-28 1° of the French Consumer Code, the right of withdrawal cannot be exercised for digital content supplied immediately after purchase. By purchasing, you request immediate performance and expressly waive your right of withdrawal.
8. Content responsibility
Each creator is solely responsible for the content they publish and sell (accuracy, legality, intellectual property rights). Novoca may unpublish, without notice, any shop that violates the law or these terms. Reports: hello@novoca.io.
9. Claims and refunds
Purchases are covered by a 14-day “satisfied or refunded” commercial guarantee: if the product does not match its description, contact hello@novoca.io and the sale will be refunded through Stripe after verification. Claims may also be addressed directly to the selling creator.
10. Governing law
These terms are governed by French law. In the event of a dispute, an amicable resolution will be sought before any legal action.
